By requesting, joining, enrolling in, signing up for, acknowledging, or otherwise consenting to receive one or more text messages from Black Dog Site Services, LLC (“Black Dog Site Services,” “we,” “us,” or “our”) through our messaging platform (the “Platform”), you accept these Text Message Terms and Conditions and consent to participate in our text-messaging program (“Opt-In”).
These Terms and Conditions contain provisions governing and limiting how claims between you and Black Dog Site Services are resolved.
They include an agreement to arbitrate that, with limited exceptions, requires you to submit claims against us to binding and final arbitration. You may pursue claims against Black Dog Site Services only on an individual basis, not as part of a class or representative action or proceeding. You may seek relief, including monetary, injunctive, and declaratory relief, only on an individual basis.

By opting in, you authorize Black Dog Site Services to use autodialer or non-autodialer technology to send text messages to the mobile telephone number associated with your Opt-In. This may be:
You also authorize Black Dog Site Services to include marketing content in these messages. You are not required to opt in or consent to receive text messages as a condition of purchasing or receiving any of our services.
You confirm that you are the subscriber to the relevant telephone number or the customary user of that number under a family or business plan and that you are authorized to provide consent.
You consent to our use of an electronic record to document your Opt-In.
In addition to service, informational, or marketing messages, you may receive welcome or administrative messages, including a request to confirm your Opt-In.

To participate, you must have a wireless device capable of two-way messaging, use a participating wireless carrier, and subscribe to text-messaging service. Not all wireless providers support the services necessary to participate. Check your device and service plan for specific text-messaging capabilities and instructions.
Unless otherwise stated, Black Dog Site Services may send multiple recurring messages. Message frequency may vary.
We may terminate the text-messaging program or your participation in it at any time, with or without notice. These Terms and Conditions will continue to apply to messages previously sent and other matters arising from your participation.

Your opt-out request may generate a confirmation message or a request to clarify which text-messaging program the request applies to if you participate in more than one program. If clarification is requested, you must provide it to complete your opt-out.
You understand and agree that an opt-out request submitted through another method, including words other than those listed above, may not be recognized as a reasonable method of opting out. You may receive a final message confirming your decision.
The provisions of these Terms and Conditions that, by their nature, should continue after your withdrawal of consent will remain in effect.

Any dispute or claim arising from or relating to the Platform or this text-messaging program will be resolved through binding arbitration rather than in court, except that either party may assert an eligible claim in small claims court.
The Federal Arbitration Act and applicable federal arbitration law govern this arbitration agreement.
BY AGREEING TO ARBITRATION, YOU UNDERSTAND AND AGREE THAT YOU ARE WAIVING YOUR RIGHT TO USE OTHER AVAILABLE DISPUTE-RESOLUTION PROCESSES, INCLUDING A COURT ACTION OR ADMINISTRATIVE PROCEEDING, TO RESOLVE DISPUTES OR CLAIMS.
Arbitration rules differ from court rules. There is no judge or jury, and judicial review of an arbitration award is limited. However, an arbitrator may award, on an individual basis, the same damages and relief that would be available in court and must enforce the same limitations contained in these Terms and Conditions that a court would enforce.

Payment of filing, administration, and arbitrator fees will be governed by the applicable AAA rules.
Black Dog Site Services will reimburse applicable arbitration filing fees, excluding attorneys’ fees, for claims totaling less than $10,000 unless the arbitrator determines that the claim is frivolous. Black Dog Site Services will not seek attorneys’ fees or arbitration costs unless the arbitrator determines that the claim is frivolous.
You may elect to have the arbitration conducted by telephone, based on written submissions, in person in the county where you live, or at another location mutually agreed upon by the parties, subject to the applicable AAA rules.
You and Black Dog Site Services agree that any dispute-resolution proceeding, regardless of its nature or forum, will be conducted only on an individual basis and not as a class, consolidated, collective, or representative action.
You may not bring a claim on behalf of a class or another person. An arbitrator may not consolidate the claims of more than one person or preside over a representative or class proceeding.
If a claim proceeds in court rather than arbitration, you and Black Dog Site Services each waive the right to a jury trial unless that waiver is unenforceable under applicable law. Any such claim will be decided by a judge rather than a jury.
Nothing in this section prevents either party from seeking injunctive relief in court to prevent infringement or misuse of intellectual-property rights.
If a term or provision of this section is found invalid, illegal, or unenforceable in a particular jurisdiction, that determination will not affect any other term or provision or make the same term unenforceable in another jurisdiction.
These dispute-resolution provisions survive the cancellation or termination of your participation in the Platform.
Black Dog Site Services’ third-party messaging service providers are intended third-party beneficiaries of these Terms and Conditions, including the dispute-resolution provisions above.
THE PLATFORM AND ALL CONTENT PROVIDED IN CONNECTION WITH IT ARE PROVIDED “AS IS” AND “WITH ALL FAULTS,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, BLACK DOG SITE SERVICES DISCLAIMS ALL EXPRESS AND IMPLIED WARRANTIES, INCLUDING WARRANTIES OF TITLE, NON-INFRINGEMENT, ACCURACY, COMPLETENESS, MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND WARRANTIES ARISING FROM A COURSE OF DEALING, COURSE OF PERFORMANCE, OR USAGE OF TRADE.
If you intend to stop using the mobile telephone number enrolled in the Platform, including because you are canceling your service plan or selling, transferring, or relinquishing the number, you agree to opt out using the process described above before discontinuing your use of that number.
You acknowledge that this obligation is a material part of these Terms and Conditions.
If you discontinue use of the number without notifying us, you agree that you will be responsible, to the extent permitted by applicable law, for costs and liabilities incurred by Black Dog Site Services or a party assisting with message delivery as a result of claims brought by a person who is later assigned that telephone number.
This obligation survives the cancellation or termination of your participation in the Platform.
TO THE EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE TO INDEMNIFY, DEFEND, AND HOLD BLACK DOG SITE SERVICES HARMLESS FROM CLAIMS OR LIABILITIES RESULTING FROM YOUR FAILURE TO NOTIFY US OF A CHANGE IN THE INFORMATION YOU PROVIDED.
THIS INCLUDES CLAIMS OR LIABILITIES UNDER THE TELEPHONE CONSUMER PROTECTION ACT, 47 U.S.C. § 227 ET SEQ., SIMILAR FEDERAL OR STATE LAWS, OR RELATED REGULATIONS ARISING FROM ATTEMPTS TO CONTACT YOU AT THE MOBILE TELEPHONE NUMBER YOU PROVIDED.
You may not use or participate in the Platform if you are under 13 years of age.
If you are between 13 and 18 years of age, you must have permission from your parent or legal guardian to use or participate in the Platform.
By using or participating in the Platform, you acknowledge and agree that:

You represent and warrant that you have all rights, power, and authority necessary to accept these Terms and Conditions and fulfill your obligations under them.
You further represent that your acceptance and performance of these obligations will not cause you to breach another contract or legal obligation.
A party’s failure to exercise a right under these Terms and Conditions does not waive that or any other right.
If a provision is found invalid or unenforceable, it will be limited or eliminated only to the minimum extent necessary. The remaining provisions will continue in full force and effect.
New features, changes, updates, or improvements to the Platform are subject to these Terms and Conditions unless explicitly stated otherwise in writing.
Black Dog Site Services may revise these Terms and Conditions periodically. When changes are made, we will update the “Last Updated” date at the top of this page and communicate updates as appropriate.
You are responsible for reviewing these Terms and Conditions periodically. By continuing to participate in the Platform after changes become effective, you accept the revised Terms and Conditions.
